Terms of Service

Please read these terms and conditions carefully before using our services.
Tips: Before using WADesk products and services, you should carefully read and abide by the WADesk Service Agreement (hereinafter referred to as "this Agreement") and the WADesk Privacy Policy (hereinafter referred to as "Privacy Policy"), and fully understand the contents of each clause, especially the terms of exemption or limitation of liability, which we will display in bold font, and you should focus on reading.
When you use the account and password assigned by the enterprise organization to activate your account, check "I have read and agreed to the "Service Agreement" and "Privacy Policy"" and complete the first login; when you log in after being prompted by the login page, it is deemed that you agree to the "Service Agreement" and "Privacy Policy"; when you click Login to complete the daily login, it means that you have fully read, understood and accepted all the contents of this Agreement and Privacy Policy, and this Agreement and Privacy Policy will be legally binding. At that time, you should not claim that this Agreement and Privacy Policy are invalid or request revocation on the grounds that you have not actually read the relevant content or have not obtained WADesk's answer to your inquiries.
1. Contracting Parties
This Agreement is concluded by all visitors, users or other persons who access or use the Service (hereinafter referred to as "Users" or "You") and Wuhan Wapu Technology Co., Ltd. (hereinafter collectively referred to as "WADesk" or "We").
2. Content and Validity of the Agreement
The content of this Agreement includes the text of this Agreement and all privacy policies, rules, statements, notices, warnings, tips, instructions (hereinafter referred to as "Rules") that we have published or may publish in the future. The aforementioned rules are an integral part of this Agreement and have the same legal effect as this Agreement.
WADesk has the right to formulate and modify this Agreement and related rules from time to time as needed. The changed Agreement and Rules will be notified on the official homepage (https://wadesk.io) or in the system site (including notifications through small red dots or pop-up windows), and will replace the original Agreement and Rules after (7) days of announcement. If you do not agree to the relevant changes, you should immediately stop using the WADesk service; if you continue to use the WADesk service, it means that you have accepted the revised Agreement and Rules.
3. Service Content
WADesk products and services include the "WADesk" website (https://wadesk.io/), "WADesk" client applications of various versions and "WADesk" software development kits (SDKs) and application programming interfaces (APIs) used by applications, as well as new forms of products and services that we provide to you as technology develops, collectively referred to as "WADesk Services". The WADesk client application provides multiple application versions including but not limited to Windows, Mac and other operating system adaptation services. Users can choose the software version that matches the installed terminal device. This Agreement automatically applies to all versions of software and services used by users.
WADesk grants you a non-exclusive, non-exclusive, non-transferable general right to use the WADesk software in accordance with the service contract and other relevant agreements signed with corporate organizations and this Agreement. All other rights not expressly authorized in this Agreement are still reserved by WADesk, and you must obtain WADesk's written permission when exercising these rights.
In order to improve user experience, improve service content and form, WADesk will continue to work hard to develop new services and provide users with software updates from time to time, including software replacement, modification, function enhancement, version upgrade, etc. The user understands and agrees that WADesk has the right to change, upgrade, modify the service or any part of the service and its related functions and application software at its own discretion, and may notify users of software updates through the WADesk official website, WADesk client or the corresponding application developer information page.
This Agreement does not apply to services provided to you directly by a third party through the aforementioned webpage or WADesk client (for example, the provision of related services is subject to the premise that you have registered an account according to the requirements of the third party or you and the third party have directly signed or indirectly signed a legal document binding on you and the third party through WADesk) (collectively referred to as "third-party services"), including but not limited to any application, mini-program, H5 and other forms of services that you access the WADesk platform through the application development interface (API), enterprise integrated application services, and third-party application services used through third-party SDKs or calling third-party API data interfaces, such as payment-related functional services such as payment and transfer that you realize through the WADesk client enterprise office payment function.
4. Service Usage Specifications
4.1 You promise not to use this service for any illegal or improper activities, including but not limited to the following acts
4.1.1 Produce, copy, and publish information containing any of the following content:
1) Oppose the basic principles established by the Constitution;
2) Endanger national security, disclose state secrets, subvert the state power, and undermine national unity;
3) Damage national honor and interests;
4) Distort, vilify, blaspheme, deny the deeds and spirit of heroes and martyrs, and insult, slander or otherwise infringe on the names, portraits, reputations, and honors of heroes and martyrs;
5) Promote terrorism, extremism, or incite terrorist activities or extremist activities;
6) Incite ethnic hatred, ethnic discrimination, and undermine national unity;
7) Undermine national religious policies, promote cults and feudal superstitions;
8) Spread rumors, disrupt social order, and undermine social stability;
9) Spread obscenity, pornography, gambling, violence, murder, terror or incitement to crime;
10) Insult or slander others, infringe others' reputation, privacy, portrait and other legal rights;
11) Contain false, impersonation, fraud, misleading, coercive, infringe others' intellectual property rights and trade secrets, harassment content;
12) Contain other content restricted or prohibited by the laws, regulations, rules, regulations and any legally binding norms applicable to China or the national jurisdiction of your country.
4.1.2 Engage in the following actions with respect to this software and services:
1) Upload, post, email or otherwise disseminate to the public any software virus or other computer code, file, method or program that interferes with, destroys or limits the functions of WADesk software, hardware or communication equipment, regardless of whether such actions are for commercial purposes;
2) Log in or use WADesk through third-party software, plug-ins, external plugins or systems not developed or authorized by WADesk, or create, publish or disseminate the above tools;
3) Interfere with this software and its components, modules, data, etc. by yourself, authorize others or use third-party software to violate any regulations, procedures, policies or specifications regarding the network connection of this service, including but not limited to using technology to illegally invade or destroy the server system of the WADesk service platform, or modify, add, delete, steal, intercept or replace data in the client or server system of the WADesk service platform, or illegally occupy the server space of the WADesk service platform, or implement other actions that cause it to overload.
4.1.3 Engage in the following behaviors during the use of this service:
1) Replicate, copy, sell, resell or use any part of the WADesk service or the use or acquisition of the WADesk service for any commercial purpose that infringes on the intellectual property rights, trade secrets, and legal rights of WADesk, including but not limited to the following behaviors: delete or modify the copyright information on the WADesk service platform, or forge the ICP/IP address or the name of the data packet; compile, decompile, reverse engineer or otherwise crack the WADesk service platform;
2) Impersonate WADesk or mislead others into believing that it is WADesk;
3) Infringe on the commercial interests of WADesk in any form, or engage in any behavior that may damage or be detrimental to WADesk, including but not limited to any behavior that undermines the fairness of the use of the WADesk service platform or other behaviors that affect its normal use order, such as using BUGs (also called "loopholes" or "defects") to obtain improper and illegal benefits;
4) Other acts that violate the "seven bottom lines" requirements of compliance with laws and regulations (Chinese laws, regulations, rules, policies and normative documents), the socialist system, national interests, citizens' legitimate interests, public order, social morality and information authenticity.
4.2 If you use the payment functions provided by the payment company in the WADesk client, such as payment and transfer functions, you should follow the provisions of laws, regulations and other normative documents. You may not use the payment and transfer functions in an illegal manner, nor use the payment and transfer functions for illegal activities, such as gambling, illegal absorption of public deposits, fund-raising fraud, pyramid schemes and other illegal and criminal acts, or provide assistance for illegal and criminal acts. If you cause losses to WADesk or others, you shall compensate for it.
4.3 You fully understand and agree that you must be responsible for all actions under your account, including any content you publish and any consequences arising therefrom. You should make your own judgment on the content (including but not limited to any promotional or publicity information) you come into contact with when using this service, and bear all risks caused by the use of the content, including risks arising from reliance on the correctness, completeness or practicality of the content. WADesk cannot and will not be liable for any loss or damage caused by the aforementioned risks.
4.4 You fully understand and agree that WADesk has the right to review and supervise your use of the service in accordance with the law and take corresponding actions in accordance with this Agreement, including but not limited to deleting information, suspending or terminating services and reporting to relevant authorities.
5. Service Fees
5.1 Any free trial or free functions and services of this service shall not be deemed as WADesk's waiver of the right to charge subsequent fees. WADesk has the right to notify you of the charging standards and charging methods in the form of an announcement on the WADesk official website or in the specific WADesk service application 7 days in advance. Unless we have otherwise agreed with you, if you continue to use the relevant WADesk services, you must pay the corresponding fees according to the charging standards announced by WADesk.
5.2 All fees must be paid by payment methods accepted by WADesk. The aforementioned usage fees do not include related remittances and other expenses, otherwise you should make up the payment or pay the fees yourself.
5.3 You should pay the Internet access fees and communication fees and information fees charged by other third parties that may be incurred by using this service.
6. Service Suspension or Termination
6.1 In view of the particularity of Internet services, WADesk has the right to change the service content, and may also interrupt, suspend or terminate all or any part of the services, including free services and/or paid services, and notify you in the form of public announcement on the WADesk official website or in the WADesk service application.
6.2 You understand and agree that WADesk may regularly or irregularly maintain or overhaul the platform equipment, facilities, software and hardware that provide network services. We will notify you in advance. If such circumstances cause the paid service to be suspended within a reasonable time, WADesk shall not be liable.
6.3 If any of the following breaches of contract occurs, WADesk has the right to immediately suspend or terminate the service to you and require you to compensate for the losses:
1) You use the paid service but fail to pay the corresponding service fee as required;
2) You violate the provisions of Article 4 Service Usage Specifications.
In digital office, communication and collaborative activities, we presume that you have the corresponding civil capacity. If you are a minor, please stop using it, and we ask you to ask your parents or other guardians to read this policy carefully.
7. Privacy Policy
7.1 The account you registered with WADesk has a password protection function to ensure the security of your basic information. Please keep your account and password information properly. You are solely responsible for the loss or theft of data caused by your own reasons and the deletion or storage failure of related data in this software and service.
7.2 WADesk will strive to take various reasonable physical, electronic and management security measures according to existing technologies to protect your information so that the information and communication content stored in WADesk will not be leaked, damaged or lost, including but not limited to SSL, information encryption storage, and access control of data centers. We have also taken strict management of employees or outsourced personnel who may have access to information, including but not limited to taking different authority controls according to different positions, signing confidentiality agreements with them, and monitoring their operations. But at the same time, please note that there are no absolutely perfect security measures on the information network. Please keep the relevant information properly.

8. Intellectual Property
8.1 You understand and agree that all intellectual property rights (including but not limited to copyright, trademark rights, patent rights, trade secrets, etc.) and related rights of all products, technologies, software, programs, source codes, trademarks (including but not limited to "WADesk", "wadesk.io" and other words, graphics and their combinations), service names, service logos, trade names, emblems, logos, application programming interfaces (APIs) and other information provided by the services (including but not limited to text, images, pictures, photos, audio, video, graphics, colors, website architecture, layout or interface design, electronic documents) included in the services under this Agreement, except for third-party services, belong to WADesk or its affiliates.
8.2 You shall ensure that you shall not (and shall not allow any third party to) implement the above rights, including but not limited to copying, disseminating, displaying, mirroring, uploading, downloading, renting, lending, selling, modifying, reproducing, compiling, publishing, restoring engineering, reverse compiling, reverse compiling, or discovering the source code in other ways, and shall not indicate to others that you have the right to display, use or do other processing.
8.3 You understand and agree to authorize WADesk to use your name, trademark, trade name, and service mark in publicity and promotion, but only to indicate that you are our customer or partner.
9. Limited Liability
9.1 The service will be provided on an "as is" and "as available" basis. WADesk hereby expressly declares that it does not make any express or implied warranties for the service, including but not limited to warranties, statements or promises of the applicability of the service, absence of errors or omissions, continuity, accuracy, reliability, timeliness, and suitability for a particular purpose.
9.2 WADesk is not responsible for the failure of service or delay of service due to force majeure such as Internet connection failure, computer, communication or other system failure, power failure, hacker attack, strike, riot, uprising, riot, fire, flood, storm, explosion, war, government action, or insufficient productivity or production materials for which you are solely responsible, or orders of international or domestic courts.
9.3 Whether foreseeable or not, regardless of the form of behavior, WADesk shall not be liable for any failure to provide service or delay of service.
Desk is not responsible for any losses caused by the following reasons:
1) You purchase or obtain any products, samples, data, information or conduct transactions from a third party through this service;
2) Unauthorized access or modification of data or data transmission caused by no fault of WADesk;
3) Statements or actions made by a third party to you.
9.4 You fully understand and agree that, in view of the particularity of the Internet environment, the information and personal information you voluntarily share in the service may be copied, reproduced, modified or used for other illegal purposes by others; you are fully aware of the existence of such risks and confirm that such risks are entirely borne by you, and WADesk does not assume any responsibility for this.
9.5 You understand and agree that there may be risks of threatening, defamatory, offensive or illegal content or behavior from any other person or infringement of the rights of others and anonymous or pseudonymous information during the use of the service. Based on the service usage specifications, such risks should be borne by you, and WADesk does not assume any responsibility for this.
10. Liability for breach of contract and compensation
10.1 Users agree and accept: If WADesk discovers or receives reports from others that you or the end users you control have violated the provisions of this Agreement, WADesk has the right to verify, forward, notify, delete, block, restrict, suspend part or all of your services (including but not limited to limiting the addition of members, limiting the sending of messages, etc.), terminate your use of part or all of this service, cancel your account, report to the relevant authorities, and pursue your legal liability in accordance with the provisions of relevant laws and regulations.
10.2 Enterprise organization users agree and accept: If your violation of this Agreement derives or causes any third party to make any claims or requests to WADesk and its affiliates, or WADesk and its affiliates suffer any losses as a result, you agree to compensate in full.
11. Refund policy and compensation
As a SaaS provider, all products and services provided by WADesk and its business units are intangible and irrevocable, so we will not refund after the order is completed and delivered. We hope that you will read the terms and conditions carefully before making a payment.
11.1 It is recommended to understand the functions and features of our products before placing an order to avoid refunds.
By ordering our products, you agree that you have correctly read this policy and fully accept the terms and conditions in this refund policy. If you disagree or do not accept the terms and conditions in this policy, please contact us to convey your opinions and suggestions and give us 48 hours to respond.
11.2 We only accept refund requests for the following reasons:
1) Errors occur due to our system errors.
2) Users have the right to receive a full refund within 24 hours after the first payment.
Tips:
1) Down payment refers to the down payment using the designated account, excluding renewal, package upgrades, and repurchases;
2) Please provide us with a complete and well-founded reason for refund;
3) We do not refund due to non-use or dissatisfaction
12. Dispute Resolution and Others
12.1 The interpretation and application of this Agreement, as well as disputes related to this Agreement, shall be handled in accordance with the laws of the People's Republic of China, excluding the application of any conflict of laws.
12.2 If any clause of this Agreement is deemed invalid or unenforceable, the above clause may be separated and the remaining parts shall remain legally effective.
12.3 If WADesk waives the rights stipulated in this Agreement in the event of negligence or breach of contract by the user, it shall not be deemed as a waiver of its rights for other or subsequent similar negligence or breach of contract by the user.
12.4 This Agreement shall supersede all oral and written agreements, arrangements, understandings and communications previously reached between the parties on any matters under this Agreement.

If you are not satisfied with our response, especially if you believe that our personal information processing behavior has damaged your legitimate rights and interests, you can also seek a solution by filing a lawsuit in the court with jurisdiction over the defendant's place of residence.
